ASCENSION CREATIVE SERVICES TERMS & CONDITIONS:

These Terms and Conditions apply whenever engaging the services of Ascension Creative, whether it be online, over the telephone or in person.

These terms are always available from http://ascension.net.nz/trade_terms. You should ensure that you check back regularly for updates to the Terms and Conditions.

Please check all information carefully. We will not be held liable for any mistakes regarding spelling, phone numbers or contact details (etc) being incorrect once the proof has been approved by the client.

1. DESCRIPTION OF SERVICES

Ascension Creative will provide any of the following services (collectively, the "Services") which the Client makes a formal request for:

• Graphic Design - Custom Design as requested by Client which may include but are not limited to; design of logos, brand development, business cards, stationery, brochure & flyers, magazine layout and advertisments and other customised design as requested by Client brief.
• Freelance / Contract Design - Custom design upon contract and on behalf of company.
• Web Site Design and Development – Custom HTML, custom programming and web page design which may include web page layout, graphics, photographs of materials and/or products that Client wishes to display on the web site.
• Additional Design & Development - Once the website is complete and published, the Additional Design & Development starts. This includes but is not limited to all updates and changes to the site, alterations to existing art work/print work, supply of files.
• Domain Name Registration – Ascension Creative will arrange for the domain names as requested by the Client to be registered if they are available, using an appropriate agent.
• Hosting – Ascension Creative will arrange hosting of clients site, email and domain name/s on a remote server. Hosting is for a set amount of disk space for site, statistics and email. Ascension Creative may also deisgn the website and upload to an existing server upon Client request.
• Technical Services – This refers to other technical services provided by Ascension Creative to the client that are not design and development related; for example - technical information regarding digital phtotgraphy, tuition for Client on website self-updating software once initial setup codes and connection and 'how to' documentation has been supplied.

2. SERVICES NOT COVERED BY THIS AGREEMENT

The following services are specifically not covered by this Agreement:

• Ascension Creative has no control over search engine registrations. As such Ascension Creative can not guarantee how or where the search engines will rank Client’s web site. Ascension Creative will provide initial submittion of the website to Google and MSN and provide relevant links on how to submit to Yahoo. It is Client's responsibility to resubmit to these search engines and to keep website content relevant and updated to aid placing in search engine rankings, and to advise Ascension Creative if services are needed to assist in this process.
• Links will be supplied to Client on how to resubmit to these search engines and can also be found on www.ascension.net.nz/resources.

3. PAYMENT FOR SERVICES

• A payment of 50% deposit must be received before printing will begin – no credit will be given. A 50% deposit is due after first website proofs have been viewed by the client. Remaining balance is due immediately on reciept of delivery.
• Payments can be made by either direct debit, cash or cheque as detailed on the invoice supplied by Ascension Creative.
• If an order is cancelled, you will be charged $40 per hour for any design that has been completed. If printing has commnced you will be charged the full price.
• Graphic Design - $40 per hour.
• All prices quoted exclude GST, design and delivery unless stated.

4. PERMISSIONS AND COPYRIGHT

• Client will obtain all the necessary permissions and authorities in respect of the use of all copy, graphics, registered company logos, names and trademarks or any other supplied material. Acceptance of this Agreement shall be regarded as a guarantee by Client that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.
• No responsibility will be accepted by webWise for damages to or losses incurred by Client from the use of material for which the required permission or authority has not been properly obtained.
• Client is required to ensure that the content of their web site pages meets all the current New Zealand legislation regarding publications. Client shall further indemnify webWise in respect of any claims, costs or expenses that may arise from any material included in Client’s web site pages.

5. PRINTING

• We print using four colour process, we will do our best to simulate Pantone PMS colours but please be aware that there may can be a slight colour variation between print runs.
• The screen colour / printer colour is indicative only due to variance in setting for both of these mentioned. It is Clients responsibility to request a colour sample prior to approving print.
• Printing on various stock (.g. letterheads v’s business cards) may produce slightly different colours due to the absorbency of the stock.
• Business cards take 5 – 7 days to print from the time of confirmation, we can give you an eta for other products.
• Any disputes over printing must be put in writing, and printing to be returned within 21 days of the invoice date. No dispute will be considered until pinting is returned.
• Cancellation must be in writing.
• Be aware that if you have a solid colour backgroud or similair on one side of your card and a pale or white background on the other you may end up with bleeding around the guillotined edges. This will be explianed to you prior to printing if relevant to your design.

6. POST PLACEMENT ALTERATIONS

Ascension Creative cannot accept responsibility for any alterations caused by a third party occurring to the Clients web site pages once placed. Such alterations include, but are not limited to additions, modifications, or deletions.

7. DESIGN CREDIT

A link to Ascension Creative will appear in small type at the bottom of each web site page on Client’s site.

8. RIGHT TO PULL

• If payment has not been made within 7 days from reciept of goods your account will be placed with a collection agency.
• All collection costs are payable by the client.
• All work is owned by Ascension Creative until all payments are completed. As such, Ascension Creative reserves the right to delay placement of the Services until final payment is received in full.
• Client agrees that Ascension Creative shall have the right to remove the access to Services, including the web site from public viewing, for failure to adhere to the terms of this Agreement, including violating any licensing agreements or failure to pay fees duly assessed.
• A reconnection fee may apply.

9. CONFIDENTIALITY

• Ascension Creative will not at any time or in any manner, either directly or indirectly, or divulge, disclose, or communicate in any manner, any information that is proprietary to the Client. Ascension Creative will act reasonably to protect such information and treat it as strictly confidential.
• Upon request, Ascension Creative will return to Client all notes, records, documentation or other items belonging to the Client that were used for the Services of this Agreement.
• Work done on contract/freelance to other design companies will be treated as strictly confidential and will contain no reference to Ascension Creative, or be used for the personal benefit of Ascension Creative.
• Ascension Creative will seek Client permission to use any Client art in aid of samples for promotion for Ascension Creative.

10. ALTERATIONS TO TERMS AND CONDITIONS

Ascension Creative reserves the right to change, at any time, these Terms and Conditions. Ascension Creative will attempt to notify the Client in the case of significant changes. The Terms and Conditions on the Ascension Creative website should be considered the most recent version.

Once you have approved this order you will be bound by these terms and conditions as displayed above and on the website www.ascension.net.nz.
